If you intend to use the Website, you must read and agree to the Privacy Policy before doing so.

5. Intellectual Property Rights

The Website, the Content, the Company's proprietary assets, and all related intellectual property rights, including, without limitation, inventions, patents and patent applications, trademarks and trademark applications, trade names, goodwill, copyrights, trade secrets, and domain names, whether registered, registrable, or otherwise (collectively, the "Intellectual Property"), are owned by and/or licensed to the Company and are protected by copyright, trademark, and other intellectual property laws, as well as by international treaties and agreements. Any right not expressly granted to the User under these Terms is reserved by the Company and/or its licensors. These Terms do not grant the User any rights in the Company's Intellectual Property, other than a limited and revocable right to use the Website in accordance with the Terms. Nothing in the Terms constitutes a waiver of any rights the Company may have in its Intellectual Property under applicable law.

If you provide us with any feedback, comment, or suggestion concerning the Website and/or the Content ("Feedback"), the Company shall receive an exclusive, perpetual, royalty-free, worldwide, and irrevocable license to incorporate the Feedback into any of the Company's current or future products and services and may use the Feedback for any purpose, without providing the User with any consideration or obtaining the User's approval. The User acknowledges that Feedback shall not be deemed confidential information. The User further represents that the Feedback is not subject to any license terms that would require the Company to assume additional obligations in relation to any products and/or services incorporating the Feedback.

6. Trademarks and Trade Names

The Company's marks, logos, and other proprietary identifiers used in connection with the Website (the "Company Trademarks") are trademarks and/or trade names of the Company, whether registered, unregistered, registrable, or otherwise. All other trademarks, trade names, identifying marks, and commercial symbols, including any logo, that may appear on the Website belong to their respective owners ("Third-Party Trademarks"). Third-Party Trademarks are displayed on the Website, if at all, solely for purposes of presentation, description, and identification. No right, license, or interest in the Company Trademarks or Third-Party Trademarks is granted hereunder. The User agrees to refrain from any use of such marks unless otherwise expressly permitted under the Terms.

7. Commercial Publications

The Company does not publish commercial advertisements on the Website, but it may provide information concerning changes, reforms, or other developments relating to the electricity or energy sectors and may inform Website users of opportunities available to them in connection with initiatives made possible by business and other developments in those sectors.

8. Links to the Website and Links to Third-Party Websites

The Company permits links to the Website subject to these Terms of Use and, in particular, to this Section. You may link to the Website provided that the link: (a) does not expressly or impliedly state that the Website has any affiliation with or endorses your website and/or any services not provided by the Company; and/or (b) does not portray the Company falsely or offensively. You may not link to our Website from a website that you do not own or are not authorized to use. Whenever you link to the Website, you represent that your website contains no unlawful, offensive, or third-party-rights-infringing content. Notwithstanding the foregoing, framing and in-line linking are not permitted.

Certain links appearing on the Website may direct the User to websites or services that are not owned or controlled by the Company, including third-party websites and/or Social Media Platforms, as defined below. These resources are provided solely for your convenience, and the Company reserves the right to remove them at any time. The Company is not responsible for such links or for any content appearing on the websites to which they lead, including, without limitation, any services, advertisements, benefits, products, or other information displayed on or available through them, or for any link contained therein. Your use of such links and any content appearing on the websites to which they lead, your interactions with third parties through them, and any damage allegedly caused to you as a result of such use are entirely at your own risk. The inclusion of these links does not constitute approval of the materials displayed on them or a recommendation to purchase any products and/or obtain any services offered through them, nor does it indicate any affiliation between the Company and the operators of those websites. The Company is likewise not responsible for the privacy, security, or other policies of such third-party websites or services. The User's access to, use of, and reliance upon such links, and the User's interactions with such third parties, are at the User's sole risk and expense. Most linked websites and services provide legal documents, including terms of use and privacy policies, governing their use. The Company recommends that each User review those documents carefully before using such websites and services, including in order to understand the types of information collected about the User.

Without limiting the foregoing, the Website may include social-sharing and other integrated tools, such as "Share" and/or "Like" buttons, that are linked to and enable integration with certain third-party social media platforms, such as Facebook and Instagram (respectively, the "Social Features" and the "Social Media Platforms"). The Social Media Platforms are wholly owned and operated by third parties that are neither affiliated with nor controlled by the Company. Your use of the Social Features is subject to the terms of use and privacy policies applicable to the Social Media Platforms and posted on their respective websites. You are solely responsible for reviewing the terms of the Social Media Platforms, including their privacy policies. If you do not agree to those terms, you must discontinue using the Social Features available on the Website. The Company is not responsible or liable for your use of the Social Features.

9. Website Availability

The availability and functionality of the Website depend on numerous factors, including software, hardware, communications networks, service providers, and contractors of the Company or other third parties, including providers of cloud hosting, domain registration, and similar services. The Company shall not be liable for, and does not represent or warrant, that the Website and services will operate and/or remain available at all times without interruption or malfunction, or that they will be immune from unauthorized access or errors. If Website maintenance is required in a manner that affects availability, the Company may, but is not obligated to, notify users in advance.

10. Changes to the Website

The Company reserves the right to make corrections, expansions, improvements, adaptations, and any other changes to the Website, and to discontinue the Website, temporarily or permanently, including any part of the Website or the Content, at any time and without prior notice. You further acknowledge that the Content may be changed or deleted at any time without prior notice. You agree that the Company shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Website and/or the Content. You further agree that the Company is not responsible for any errors or malfunctions that may occur in connection with the implementation of such changes.

11. Disclaimer of Warranties

In addition to the provisions of Section 2 above, and to the fullest extent permitted by law, the Website and the Content are provided to Users "AS IS." In addition to the disclaimers expressly set forth in these Terms of Use, the Company, including its suppliers, officers, shareholders, directors, subcontractors, employees, affiliates, subsidiaries, agents, licensors, and representatives (collectively, the "Company Representatives"), disclaims all representations, warranties, and obligations of any kind, whether express or implied, including, without limitation, warranties of title or non-infringement, implied warranties of merchantability or fitness for a particular purpose, and warranties arising from a course of dealing or usage of trade.

Neither the Company nor its authorized Company Representatives warrants: (1) that the Website and/or the Content is or will be secure, accurate, complete, uninterrupted, error-free, or free of viruses, defects, worms, other harmful components, or other software limitations; (2) that any errors, malfunctions, or defects in the Website and/or the Content will be corrected; and/or (3) that the use of, inability to use or operate, or results of using the Website and/or the Content will meet the User's requirements or expectations.

The Company and the Company Representatives make no representation, warranty, or condition concerning use of the Website, including, without limitation, its availability or reliability, or the quality of the Website and the Content. They are not, and shall not be, responsible for any errors, malfunctions, or defects in the Content and/or any information displayed on the Website. The Company and/or its authorized Company Representatives shall not be liable for any consequence arising from technical failures, including, without limitation, internet connectivity issues, line or server congestion, and related delays and disruptions attributable to internet and telecommunications providers. The User agrees that use of the Website and/or the Content is at the User's sole risk. Without limiting the generality of the foregoing, neither the Company nor its authorized Company Representatives shall be liable for any damage whatsoever, including, without limitation, any damage arising from your use of the Content and/or the Website. The Company shall bear no liability for any errors or inaccuracies in any information appearing on the Website. To the extent that certain jurisdictions do not permit the exclusions or limitations set forth above, such exclusions and limitations shall apply only to the fullest extent permitted by applicable law.

12. Limitation of Liability

To the fullest extent permitted by law, neither the Company nor the Company Representatives shall be liable for any damages sustained by Users or any third party, of any kind whatsoever, including direct, indirect, special, punitive, incidental, or consequential damages, including, without limitation, damage to goodwill, profits, information, or business, or damages for distress, under any cause of action, including contract, tort, strict liability, or otherwise, arising out of these Terms of Use, the Website and/or the Content, the User's use of or inability to use the Website and/or the Content, or any act or omission of the Company and/or its authorized Company Representatives based on a breach of any representation or undertaking by the Company and/or its authorized Company Representatives arising out of or relating to the Terms, whether or not the Company was advised of the possibility of such damage. Without limiting the generality of the foregoing, and to the fullest extent permitted by law, the aggregate liability of the Company and/or the Company Representatives for all damages arising from these Terms of Use or relating to the User's use of the Website or the Content shall be limited to the amount paid, if any, by the User to the Company during the year in which the event giving rise to the User's claim occurred, or NIS 100, whichever is greater. To the extent that certain jurisdictions do not permit the exclusions or limitations set forth above, such exclusions and limitations shall apply only to the fullest extent permitted by applicable law.

13. Indemnification

The User agrees to defend, indemnify, and hold harmless the Company and the Company Representatives from and against any and all claims, damages, losses, obligations, liabilities, costs, expenses, and debts, including, without limitation, attorneys' fees, arising from: (a) the User's use of the Website and/or the Content other than in accordance with these Terms of Use; (b) any breach by the User of these Terms of Use; (c) the User's infringement of any third-party right, including, without limitation, intellectual property rights or the right to privacy, in connection with use of the Website; and (d) any damage of any kind, whether direct, indirect, special, or consequential, caused to a third party in connection with the User's use of the Website. It is hereby clarified that the foregoing indemnification obligation shall survive termination of your engagement with the Company. Without limiting the generality of the foregoing, we reserve the exclusive right to conduct the defense of, and exercise sole control over, any matter or proceeding subject to indemnification by you. This shall not derogate from the User's indemnification obligation and shall require the User to cooperate fully with us in the conduct of such proceeding. The User agrees not to settle any matter subject to the User's indemnification obligation without first obtaining our prior written consent.

14. Changes to the Terms of Use

The Company may, at its sole discretion, amend the Terms from time to time and asks all Users to revisit this page as frequently as possible. In the event of any material change to the Terms of Use, we will use reasonable efforts to provide notice on the Website and/or by email to an email address you may have provided to the Company while using the Website. Such material changes shall take effect seven (7) days after the date of the notice. All other changes to the Terms of Use shall take effect as of the Last Updated date, and your continued use of the Website after the stated Last Updated date shall constitute your agreement to be bound by those changes. If the Terms must be amended to comply with legal requirements, such amendments shall take effect immediately or as otherwise required by law, without prior notice.

15. Discontinuation of the Website and Termination of the Terms

The Company may, at any time and at its sole discretion, permanently block and/or restrict the User's access to the Website, the personal area, and/or the services, in addition to any other remedy available to the Company under applicable law. The Company may also, at any time and at its sole discretion, discontinue the operation of the Website or any part thereof, temporarily or permanently; delete any information or Content from the Website; or alter, correct, improve, or otherwise modify the Website, without prior notice to Users. The User agrees and acknowledges that the Company shall not be liable for any loss of information and/or any damages arising out of or relating to such decisions. Without limiting the generality of the foregoing, the provisions concerning Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and the "General" section shall survive termination.

16. General

(a) These Terms of Use constitute the entire understanding and agreement between you and the Company concerning the matters addressed herein and supersede all other prior or contemporaneous agreements, whether written or oral, between you and the Company, unless separate written agreements are entered into between you and the Company and expressly provide that their terms prevail over these Terms; (b) any claim relating to the Website, the Content, or their use shall be governed by and construed in accordance with the laws of the State of Israel, without giving effect to its conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods shall not apply; (c) any dispute arising out of or relating to your use of the Website shall be submitted to the competent courts in the Tel Aviv District, Israel, and you hereby consent to the exclusive jurisdiction and venue of such courts.
